Terms of Service

Overview

Welcome to InnerClub. These Terms of Service ("Terms") constitute a binding legal agreement between you and InnerClub Inc. ("InnerClub," "we," "us," or "our") governing your access to and use of our mobile application (the "App") and our services (collectively, the "Services"). By creating an account or by accessing or using our Services, you agree to be bound by these Terms.

Eligibility

You must be at least 18 years of age to create an account and use the Services. By creating an account, you represent and warrant that:

• You are not prohibited by law from using our Services.
• You have not been convicted of or pled no contest to a felony or indictable offense (or crime of similar severity), a sex crime, or any crime involving violence.
• You will comply with these Terms and all applicable local, state, national, and international laws, rules, and regulations.

Your Account

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under those credentials. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. We reserve the right to suspend or terminate your account if any information provided is found to be inaccurate, not current, or incomplete.

Community Code of Conduct

InnerClub is a curated community for professionals. You agree to act with the utmost integrity, respect, and professionalism. You agree not to:

• Post any content that is libelous, defamatory, obscene, pornographic, abusive, or threatening.
• Harass, bully, intimidate, or harm another user.
• Use the Services for any commercial purpose, including solicitation or advertising.
• Impersonate any person or entity or post photos of another person without their permission.
• Engage in any fraudulent, misleading, or illegal activity.

Violation of this Code of Conduct may result in immediate termination of your account without refund.

Rights and Licenses

Our License to You

InnerClub grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use.

Your License to Us

By creating an account, you grant InnerClub a worldwide, transferable, sub-licensable, royalty-free right and license to host, store, use, copy, display, reproduce, adapt, edit, publish, and distribute content you post on the App. This license is for the limited purpose of operating, developing, providing, and improving the Services and researching and developing new ones.

Purchases

If you choose to make an in-app purchase, such as a subscription, you will be prompted to confirm your purchase with the applicable payment provider, and your method of payment will be charged. Subscriptions automatically renew until you cancel.

Termination

You may terminate your account at any time, for any reason, by following the instructions in the "Settings" section of the App. We may suspend or terminate your account without notice if we believe you have violated these Terms.

Disclaimers

The Services are provided "AS IS," and we do not make any, and hereby disclaim any, warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that you will find a match or that your use of the Services will be uninterrupted or error-free.

Limitation of Liability

To the fullest extent permitted by law, in no event will InnerClub LLC, its affiliates, employees, licensors, or service providers be liable for any direct damages arising out of or in connection with your use of the Services.

Governing Law

These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of laws principles.
